Andrew is a Partner in the Corporate Team with a focus on charities and is head of the firm’s Care Group. Andrew is a member of the Charity Law Association and was on the working party which considered the proposed reform of industrial and provident society law. He is also the charity law representative on the City of London Law Society Commercial Law Sub-Committee.
Andrew has been ranked in Chambers (Charities Best of the UK) which described him as having “a wide-ranging, deep knowledge of the law”.
Recent work has included:
- Advising trustees on conflicts of interest;
- Restructuring the board of a national charity;
- Taking over a charity from a Charity Commission receiver and manager;
- Acquiring care homes;
- Assisting RPs with negotiations over SP contracts;
- Obtaining a Charity Commission scheme under which the individual trustees were replaced by a corporate trustee to reduce trustee liability and facilitate administration;
- Incorporating charities established as trusts;
- Merging charities; and
- Drafting and amending constitutions.
In addition, Andrew advises on corporate transactions for private companies and RPs. Andrew has advised on the following recent transations:
- Negotiating the sale of Continuum Holdings Limited, a leading reinsurance consultancy, to Randle & Quilter Holdings PLC (an AIM traded company);
- Advising London & Quadrant Housing Trust on establishing a property joint venture with the Countryside Group of companies;
- Providing insolvency advice to a member of a joint venture on its rights if the other member becomes insolvent;
- Negotiating an investment in Starbridge Systems Limited for private equity funds managed by Advent Venture Partners LLP and HealthCare Ventures LLC;
- Acting for a number of private equity investors on the sale of Inphamatica Limited to Galapagos NV (an AIM traded company) for an all share consideration;
- Negotiating the sale of a Swiss subsidiary of Speciality European Pharma Limited, a private equity backed pharma company, to IS Pharma PLC (an AIM traded company - formerly Maelor plc);
- Negotiating the terms of a second round financing of Speciality European Pharma Limited with UK and European private equity funds;
- Advising the sellers of a TV production company in connection with the sale to Ten Alps plc (an AIM traded company) for a cash and share consideration;
- Acting for a JV in connection with the purchase of a £200 million property portfolio from the Church Commissioners;
- Providing regulatory advice to an issuer of listed bonds;
- Advising Industri Kapital Limited, the UK subsidiary of a Nordic fund manager;
- Advising on setting up a property fund to be established as a limited partnership; and
- Advising Gilde NV, a Dutch venture capital fund, on its investment in English biotech company.
Andrew also chairs the firms Care Group.
