These will include asset transfers, share purchases, transfer of engagements and transferring ownership of companies limited by guarantee. We are aware of the issues that need to be considered on due diligence and on the implications of the regulatory regime on the transaction timetable.
We have advised in setting up data rooms on competitive auctions.
Our work has also included hiving down care homes businesses within a large group into a separate company, for regulatory reasons.
We are regularly asked to review supporting people contracts and to assist providers with their negotiating strategy. We can help with documenting service levels and performance incentives in contracts for the provision of care (including as part of a PFI project). More recently we have become involved in assisting care providers in regulatory reviews of care providers by the CQC or the relevant authority.
