Corporate Finance

We advise on all aspects of corporate finance including debt and equity placement provided by a wide range of funders and financiers including private clients and institutional investors. We have advised on fundraising structures involving debt or loan notes with different characteristics (such as PIKs) and equity with different classes of share and rights attaching. This can involve initial public offerings (IPOs), secondary issues (debt or equity) and public takeovers (for which see ‘Capital Markets’) as well as private placings, tender offers, share buy backs and corporate reorganisations and demergers.

Our Corporate Team has the technical, commercial and sector experience required to address all of the legal aspects of any transaction, whilst understanding the commercial context. This ensures we deliver the appropriate level of advice and service, drawing together resources from across the firm and keeping this often complex process on track through our hands-on approach to project management.

We have the requisite expertise to ensure that you cross the financial services ‘minefield’ without difficulty and assist you with the production of the necessary offer document whether this requires approval of the Financial Services Authority (Prospectus) or of an authorised person or no approval process (Private Placement or Information Memorandum). We will help you to choose the best route to obtain funding with your other professional advisers and implement this in a cost effective and efficient manner.
